Welcome to Subline. These Terms of Service ("Terms") govern your access to and use of the Subline mobile application and website (collectively, the "Service"), operated by Subline Ltd., a company registered in the United Kingdom ("Subline", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. About Subline

Subline is a fashion discovery platform that helps you explore, save, and purchase fashion products from third-party retailers ("Partner Stores"). We provide tools to browse product catalogues, receive personalised recommendations, create wishlists, and manage your shopping cart.

Important: Subline is not a retailer. We do not sell products, process payments, or fulfil orders. When you make a purchase through the Service, you are buying directly from a Partner Store via their checkout process. Your transaction is governed by that store's terms and policies.

2. Eligibility

To use the Service, you must:

  • Be at least 16 years of age

  • Have the legal capacity to enter into a binding agreement

  • Not be prohibited from using the Service under applicable law

By using the Service, you represent and warrant that you meet these eligibility requirements. If you are under 18 years of age, you confirm that you have obtained the consent of a parent or legal guardian to use the Service.

3. Account Registration

3.1 Creating an Account

To access certain features of the Service, you must create an account. You may register using third-party authentication providers, such as Google or Apple ("OAuth Providers"). By registering through an OAuth Provider, you authorise us to access certain information from your OAuth Provider account as permitted by the provider's terms.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Security

You must notify us immediately at contact@sublineapp.com if you become aware of any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Description of the Service

4.1 Features

The Service provides the following features:

  • Product Discovery: Browse and search fashion products from Partner Stores, organised by categories, colours, styles, and other attributes

  • Personalised Recommendations: Receive product suggestions based on your preferences and interactions with the Service

  • Swipe Feed: Discover products through an interactive swiping interface

  • Wishlist: Save products you are interested in for later viewing

  • Shopping Cart: Collect products from various stores before proceeding to checkout

  • Checkout Redirect: When you are ready to purchase, the Service will redirect you to the Partner Store's checkout page powered by Shopify

4.2 Service Availability

We strive to keep the Service available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

4.3 Changes to the Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. Purchases and Transactions

5.1 Relationship with Partner Stores

When you purchase a product through the Service, you enter into a direct contractual relationship with the Partner Store, not with Subline. The Partner Store is responsible for:

  • Product quality, description, and availability

  • Pricing and payment processing

  • Order fulfilment and delivery

  • Returns, refunds, and exchanges

  • Customer service related to your purchase

5.2 No Liability for Transactions

Subline is not a party to any transaction between you and a Partner Store. We do not:

  • Process payments or handle payment information

  • Guarantee the accuracy of product information displayed on the Service

  • Take responsibility for products purchased from Partner Stores

  • Mediate disputes between you and Partner Stores

5.3 Price Information

Product prices displayed on the Service are provided by Partner Stores and may be subject to change. While we endeavour to display accurate pricing, we cannot guarantee that prices shown are current or correct. The final price of any product will be confirmed at the Partner Store's checkout.

5.4 Disputes with Partner Stores

If you have a dispute regarding a purchase, you must contact the Partner Store directly. We encourage you to review the Partner Store's terms and conditions, return policy, and privacy policy before making any purchase.

6. User Conduct

6.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Violate any applicable law, regulation, or third-party rights

  • Use the Service for any fraudulent, deceptive, or illegal purpose

  • Interfere with or disrupt the Service or its underlying infrastructure

  • Attempt to gain unauthorised access to any portion of the Service

  • Use automated systems, bots, or scripts to access the Service without our express written permission

  • Collect or harvest user information without authorisation

  • Transmit any viruses, malware, or other malicious code

  • Circumvent, disable, or otherwise interfere with security features of the Service

6.2 Consequences of Violation

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including suspending or terminating accounts and reporting violations to law enforcement authorities.

7. Intellectual Property

7.1 Subline's Intellectual Property

The Service, including its design, features, functionality, text, graphics, logos, icons, and software, is owned by or licensed to Subline and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7.2 Partner Store Content

Product images, descriptions, and other content related to Partner Store products are owned by the respective Partner Stores or their licensors. Such content is displayed on the Service under licence and remains the property of the respective owners.

7.3 Limited Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial purposes.

8. Privacy and Data Protection

8.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

8.2 Data Protection Rights

  • Shopify: For processing checkouts with Partner Stores

  • Partner Stores: Retailers whose products are displayed on the Service

Your use of third-party services is subject to the terms and privacy policies of those services. We are not responsible for the practices or content of any third-party services. 10. Disclaimers

10.1 "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not warrant that:

  • The Service will meet your requirements or expectations

  • The Service will be uninterrupted, timely, secure, or error-free

  • The results obtained from using the Service will be accurate or reliable

  • Any errors in the Service will be corrected

10.3 Product Information

We do not guarantee the accuracy, completeness, or reliability of any product information displayed on the Service. Product availability, pricing, and descriptions are provided by Partner Stores and may change without notice.

11. Limitation of Liability

11.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUBLINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to or use of (or inability to access or use) the Service

  • Any conduct or content of any third party on the Service

  • Any products or services purchased from Partner Stores

  • Unauthorised access, use, or alteration of your transmissions or content

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUBLINE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SUBLINE, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

11.3 Consumer Rights

Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under applicable law, including the Consumer Rights Act 2015.

12. Indemnification

You agree to indemnify, defend, and hold harmless Subline and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Any dispute between you and a Partner Store

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at contact@sublineapp.com or using the account deletion feature in the Service (if available). Upon termination, your right to use the Service will cease immediately.

13.2 Termination by Subline

We may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including if we believe that you have violated these Terms.

13.3 Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after any changes indicates your acceptance of the new Terms. We encourage you to review these Terms periodically.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. However, if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of your country of residence.

15.3 Alternative Dispute Resolution

If you are a consumer in the European Union or the United Kingdom, you may be entitled to use the European Commission's Online Dispute Resolution platform, available at https://ec.europa.eu/consumers/odr. However, we are not obligated to participate in alternative dispute resolution.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Subline regarding the Service.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except as expressly stated herein.
